1. Service Scope and Usage Limits
Each plan includåes the specified number of brands and asset volume per month. Asset counts include images, motion variations, layout variations, and resizes as defined above. Usage exceeding these limits may incur additional charges or require plan upgrades.
2. Content Ownership
All assets generated for your brands are owned by you or your company, provided that all applicable fees have been paid in full. Lica retains the right to use anonymized and de-identified examples of generated content solely for platform improvement, performance benchmarking, and portfolio demonstrations, unless otherwise agreed in writing.
3. Platform Exclusivity
All creative workflows, comments, feedback, and approvals will be managed within the Lica platform. Use of third-party collaboration tools (e.g., Google Drive, Figma, or Slack) is outside the scope of this agreement unless explicitly approved by Lica.
4. AI-Generated Output Disclaimer
While every effort is made to ensure accuracy and brand alignment, the outputs generated by Lica’s AI systems may occasionally contain imperfections or require human review. Lica will make reasonable efforts to address and correct such issues promptly, but does not guarantee error-free or fully automated results.
5. Data and Privacy
Lica will handle all uploaded materials, brand assets, and generated content in accordance with applicable privacy and data protection laws. Confidential materials will not be shared or used for purposes other than providing the agreed services.
6. Service Modifications and Availability
Lica may modify the platform or update features to improve performance or usability. Notice will be provided for any major service changes that could affect active workflows. Temporary downtime for maintenance may occur but will be minimized.
7. Term, Renewal, and Cancellation
The minimum commitment period is three (3) months. After the initial term, plans may renew monthly or annually depending on your selection. Either party may terminate with 30 days’ written notice following the initial commitment period.
8. Payment Terms
Fees are due in advance of each service period. Late payments may result in suspension of access. All prices exclude applicable taxes unless otherwise stated.
9. Limitation of Liability
To the maximum extent permitted by law, Lica shall not be liable for any indirect, incidental, or consequential damages arising from the use of the service, including but not limited to loss of profits, goodwill, or data.
10. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of California, without regard to conflict of law principles.
